DIRA means "compass" in Swahili.
Purpose: empower members to grow personally and professionally, foster entrepreneurship, and build a strong support system.
Activities include workshops, investment opportunities, community service, fundraising, financial literacy.
Eligibility: M-Pesa Academy Class 2023.
Registration fee: KES 1,000.
Non-2023 members: require a 2/3 vote and a 2-month onboarding.
Resignation: 7-day notice, 75% contributions refunded.
Expulsion: 2/3 vote, up to 50% refunded.
Executive Committee: Chairperson, Head of Finance, Head of Communications, Head of Community Service.
Committees: Networking/Skills, Finance/Investment, Communications/Branding, Community Service.
AGM yearly. Special Meetings for urgent matters. Monthly meetings.
Must attend 2/3 of meetings or pay a KES 400 fine.
Quorum: 2/3 of active members.
Online: 2 weeks notice. Physical: 1 month notice.
Monthly minimum: KES 1,500.
Loans up to KES 5,000, 95 days repayment.
Interest: 26–55 days 15%, 56–85 days 20%, 86–95 days 25%.
Funds in Etica bank account with dual signatories.
Audit every 6 months.
11 contributing members pay KES 2,000/month (KES 500 goes to buffer).
4 support-eligible members receive KES 1,000/month buffer.
Buffer funds become personal capital contributions.
Applies to investment decisions, business ventures, capital deployment, dissolution.
Formula: member contributions divided by total contributions.
Maximum 30% voting power cap.
Amendments & Dissolution

Changes require a 2/3 majority vote. Constitution reviewed every 2 years.
Dissolution requires 2/3 of all members.
On dissolution, 100% of contributions refunded if viable, remaining assets split by share.
